By-Laws
of the
I. Name and
Members:
a. The name of the association shall be the Oregon Athletic Officials Association hereinafter referred to as OAOA.
b. Members of the Association shall be local association Commissioners and officials who are certified by the Oregon School Activities Association (OSAA) and who are members in good standing in a Local Association chartered by the OSAA.
II. Purpose
and
a. The purpose and mission of the Association is to represent the membership and their interests to the OSAA and their member schools; to further the training and development of its members; to assist local associations in recruitment and retention; and to enhance the quality, consistency and perception of officiating throughout the state.
III. Executive
Board:
a. The Executive Board (hereinafter referred to as the Board) shall be the governing body of the Association and shall set the policy, manage the affairs and oversee all activities of the Association.
b. Members of the Board: The Board shall consist of sixteen (16) members:
1. Seven (7) Commissioners - one per each sport.
2. Seven (7) Regional Representatives who shall be active officials. The Executive Board shall divide the state into seven (7) geographical regions representing the general locations of the Local Associations.

3. The Executive Director and the Associate Executive Director.
c. Board Selection:
1. Commissioner Board members shall be selected by a majority vote of Commissioners (or their designee) who attend the annual OSAA State Interpreters meeting in their sport.
2. Regional Representatives shall be selected by the Board following a request for applicants and a screening process as determined by the Board.
3. Board terms shall be three (3) years staggered. Board members cannot serve more than two consecutive terms.
4. The Executive Director and Associate Executive Director shall be selected by a ¾ majority (11 out of 14) vote of the Board and shall serve at the pleasure of the Board. Neither the Executive Director nor the Associate Executive Director shall participate in this vote.
d. Meetings: The Board shall meet at least quarterly with additional meetings as deemed necessary by the Board.
e. Quorum: Eight members of the Board (excepting the Executive and Associate Executive Director) shall constitute a quorum.
f. Voting: If the quorum is met the Board may act upon a majority of those present. Neither the Executive Director nor the Associate Executive Director shall participate in voting, except the Executive Director (or the Associate Executive Director in his/her absence) may vote in case of a tie.
g. Vacancies:
1. If there is a mid-term Commissioner vacancy, the Board shall appoint an interim replacement from the sport in which the vacancy occurs. The appointee shall serve until that sport’s next State Interpreters meeting at which time the position will be filled pursuant to III. c. 1.
2. If there is a mid-term Regional Representative vacancy, the Board shall appoint a replacement pursuant to III. c. 2 who shall serve a new three-year term.
IV. Executive
Director and Associate Executive Director:
a. Duties and Responsibilities:
1. The Executive Director shall preside over all Executive Board meetings; represent OAOA before the OSAA, OADA, OACA and other organizations involved with high school sports and officiating as necessary; manage the Association’s finances; appoint committees and their members as necessary; and manage the day-to-day affairs of association. The Executive Director shall report to the Board and keep the Board apprised of the activities of OAOA.
2. The Associate Executive Director shall preside over Board meetings in the absence of the Executive Director and shall perform assignments as may be requested by the Executive Director and the Board.
b. Compensation: The Board shall determine the amount of compensation for the Executive Director and Associate Executive Director.
V. Board

VI. Finances:
a. Status: The Association will seek non-profit status with the appropriate taxing authorities.
b. Member Dues:
1. The Board shall determine the amount of member dues consistent with the reasonable and necessary expenses of the Association and its goals and mission. Any proposed change in the dues structure must be published to the membership at least ninety (90) days before Board action.
2. OSAA’s certification requirements mandate membership in OAOA. All member dues collected by OSAA are dedicated to the general fund of OAOA.
c. Fiscal year: The fiscal year shall be August 1st to July 31st.
d. Accessibility of Financial Records: Financial records of the Association shall be available to all members upon request.
e. Financial Reports: The Executive Director shall issue a financial report at each quarterly meeting of the Board, at the end of the fiscal year and upon request of the Board.
VII. Amendments.
a. Any member may propose an amendment by submitting it in writing to the Executive Director. Such proposed amendment(s) shall be published to the membership at least 90 days prior to being voted upon pursuant to Article VII, Section b.
b. Amendments to these by-laws shall be made by a three-quarters (3/4) majority of voting dues paying Local Associations, with at least fifty-one (51) percent of such associations voting.
VIII. Ratification.
a. Initial adoption of these by-laws shall be made by a majority of voting dues paying Local Associations, with at least fifty-one (51) of such associations voting.
b. Pursuant to VIII, Section a., these by-laws were ratified on March 1, 2005.
